Terms and conditions

These terms govern access to and use of Scrollport. Please read them before creating an account, funding a wallet or allowing an agent to use the service.

1. Agreement

By creating an account, accessing Scrollport or using the service, you agree to these terms. If you act for an organisation, you confirm that you are authorised to accept them for that organisation.

You must be at least 18 years old and legally able to enter into these terms.

2. The service

Scrollport gives AI agents a common interface for discovering, inspecting and running third-party tools, with usage settled through one prepaid wallet. We may improve, change, suspend or discontinue parts of the service. We aim to avoid material disruption, but no feature or catalog tool is guaranteed to remain available indefinitely.

3. Accounts and agent access

  • Provide accurate account information and keep it current.
  • Keep your sessions, API keys, devices, agent environments and approval links secure.
  • Give account, wallet, connection and spending permissions only to people and agents you authorise.
  • Tell us promptly if you believe an account, key, wallet or agent connection has been compromised.

4. Your content and agent runs

You retain ownership of inputs, files and other content you provide. You give us the limited rights needed to transmit, process, store and display that content to operate the service, execute requested tools, provide artifacts and maintain your usage record.

You are responsible for having all rights, licences, permissions and consents needed to submit and process that content, including personal, confidential or regulated information. Your agent acts with the access and spending authority you give it.

5. Acceptable use

You must not use Scrollport to:

  • break the law, infringe rights or breach a contract that applies to you;
  • attack, disrupt, probe or bypass Scrollport or another system;
  • upload malware or use the service for abuse, spam, fraud or harmful automation;
  • create or distribute child sexual abuse material, non-consensual intimate imagery, unlawful sexual or violent content, or content that promotes self-harm or violent extremism;
  • harass, discriminate, defame, deceive, impersonate someone or create a harmful deepfake without the necessary rights and consent;
  • process personal, health, financial, biometric, confidential or other sensitive information without a lawful basis and the necessary permissions;
  • misrepresent your identity or authority to access data or connected accounts;
  • reverse engineer the service, extract model weights, or use inputs or outputs to train or improve a competing model, except where the law expressly permits it; or
  • create unreasonable load or evade technical, safety or spending controls.

6. Wallets, trial credit and billing

Purchased wallet funds are recorded in US dollars and pay for successful tool use. They do not expire merely because of time or inactivity. A Scrollport wallet is a service balance, not a bank account or deposit: it earns no interest and cannot be transferred or withdrawn except where required by law.

Trial or promotional credit may have separate limits and has no cash value. Tool prices and billing units are shown before use. Some estimates depend on provider-measured usage, so the final charge may differ from the estimate; your append-only ledger records the settled amount. Payments are generally non-refundable except where law requires otherwise or we expressly agree.

We may change pricing with reasonable notice where required. You are responsible for applicable taxes, payment details and the spending limits you configure.

7. Provider tools and third-party services

Scrollport depends on providers for catalog tools, infrastructure, authentication, storage and payments. A tool run sends the input needed for that job to the selected provider. Third-party services may have their own terms and policies, and availability or output quality may change outside our control.

You must follow any tool-specific restrictions we make available. We may block or suspend a run when needed to enforce these terms, provider requirements, safety controls or the law.

8. Security responsibilities

We use reasonable technical and organisational safeguards designed to protect Scrollport. You remain responsible for choosing appropriate agents, reviewing device codes and approval requests, setting spending limits, protecting keys and monitoring account activity. We cannot secure systems, agents or third-party accounts that are misconfigured, compromised or used outside Scrollport.

9. Intellectual property

We and our licensors own Scrollport, including its software, design, branding and documentation. These terms do not transfer that ownership to you. You may give feedback, and we may use it without restriction or obligation.

10. Privacy

Our Privacy Policy explains what information we handle, why we handle it and the service providers involved.

11. Suspension and termination

You may stop using Scrollport at any time. We may restrict or terminate access if you breach these terms, create a security or legal risk, misuse the service, fail to pay an amount due or materially harm Scrollport or others. After termination, data may be retained or deleted according to the Privacy Policy, product settings, legal duties and backup practices.

12. Warranties and disclaimers

To the maximum extent the law permits, Scrollport is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted operation, error-free output, continued access to every provider tool or suitability for every purpose. Rights that cannot lawfully be excluded remain unaffected.

Generative outputs may be inaccurate, non-unique, unoriginal, unprotectable or infringing. You must review outputs and decide whether they are suitable and lawful for your intended use.

13. Liability

To the maximum extent permitted by law, we are not liable for indirect, consequential, incidental, special, exemplary or punitive loss, or for lost profit, revenue, data, business opportunity or goodwill. Our total liability for claims relating to Scrollport is limited to the greater of NZD 100 or the amount you paid us during the three months before the event giving rise to the claim.

14. Indemnity

You agree to indemnify us against claims, losses, liabilities, damages, costs and expenses arising from your content, your breach of these terms, your misuse of Scrollport or your violation of law or third-party rights.

15. Changes to these terms

We may update these terms. If a change is material, we will take reasonable steps to notify affected users. Continued use after the updated terms take effect means you accept them.

16. Governing law

These terms are governed by the laws of New Zealand. The courts of New Zealand have non-exclusive jurisdiction over disputes relating to these terms or Scrollport. Mandatory rights that apply where you live are not displaced.
